These Terms govern your access to and use of the Site and any related services provided by Gaaga Works Agency. By accessing or using the Site, you agree to be bound by these Terms.
Gaaga Works Agency (“Company”, “we”, “us”, or “our”) operates its website and related digital platforms (the “Site”) from its registered address at 23, Block 68, Durosinmi Etti, Lekki, Lagos State, Nigeria.
By accessing or using the Site or interacting with the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms.
The Company provides talent management, brand representation, creative consultancy, and related services within the creative and commercial ecosystem. The Site serves as an informational and introductory platform and does not, in itself, constitute a binding representation, management, or agency relationship. Any formal engagement shall be governed strictly by a separate written Service Agreement executed between the Company and the relevant party. In the event of any inconsistency, the Service Agreement shall prevail.
You represent that you are at least 18 years of age and possess the legal capacity to enter into binding agreements under the laws of the Federal Republic of Nigeria. Where you act on behalf of a business or entity, you warrant that you are duly authorized to bind that entity.
You agree to use the Site only for lawful purposes and in a manner consistent with applicable laws and regulations. You shall not misuse the Site, attempt unauthorized access, interfere with its functionality, introduce malicious code, scrape or extract data without consent, impersonate any person or entity, or engage in any conduct that may harm the Company, its clients, or other users.
All intellectual property rights in and to the Site, including but not limited to text, graphics, branding, logos, software, and other materials, remain the exclusive property of the Company or its licensors. Nothing in these Terms grants you any ownership or license rights except for a limited, non-transferable right to access the Site for its intended purpose.
Where you submit any content, including but not limited to portfolios, media, creative works, or personal information, you retain ownership of your intellectual property. However, you grant the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, display, adapt, and publish such content for the purposes of evaluating potential engagements, providing services, marketing, promotional activities, and portfolio showcases, unless otherwise agreed in writing.
The Company does not guarantee engagements, brand deals, commercial success, revenue generation, or specific outcomes. All opportunities are subject to market conditions, third-party decisions, and independent contractual negotiations.
You acknowledge that introductions, connections, or opportunities facilitated by the Company constitute valuable commercial relationships. You agree not to bypass, circumvent, or avoid the Company in any dealings with clients, brands, or talent introduced directly or indirectly through the Company. This obligation shall remain in effect for a period of twenty-four (24) months from the date of such introduction. In the event of a breach, the Company shall be entitled to recover a commission of not less than thirty percent (30%) of the total value of the transaction, in addition to any other remedies available under law.
The Company reserves the absolute right, at its sole discretion, to accept, reject, suspend, or terminate any user, talent, client, or engagement where such association may, in its opinion, pose reputational, legal, or commercial risk.
You agree to conduct yourself in a manner that does not harm the reputation, goodwill, or business interests of the Company. The Company may suspend or terminate access where conduct, including public conduct or online activity, is deemed damaging.
Where services are provided under a separate agreement, payment terms, commissions, and fees shall be governed by that agreement. The Company reserves the right to suspend services in the event of non-payment.
The Site may contain links to third-party platforms. The Company does not control and is not responsible for third-party content, services, or practices, and your interaction with such platforms is at your own risk.
The Site and all services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the Company disclaims all warranties, whether express or implied, including fitness for purpose, accuracy, and availability.
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profit, loss of opportunity, reputational damage, or third-party failures arising from your use of the Site or Services. The Company's total liability, if any, shall not exceed the amount paid by you to the Company within the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, liabilities, damages, or expenses arising from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party rights.
You acknowledge that, in the course of interacting with the Company, you may have access to confidential or proprietary information. You agree not to disclose, use, or exploit such information except as necessary for legitimate engagement with the Company. This obligation survives termination.
The Company processes personal data in accordance with applicable data protection laws, including the Nigeria Data Protection Act (NDPA) 2023 and, where applicable, the General Data Protection Regulation (GDPR). Personal data shall be collected, processed, and stored lawfully, fairly, and transparently, and only for specified and legitimate purposes.
By using the Site, you consent to the processing of your personal data. You have the right to request access to your data, request correction or deletion, restrict or object to processing, and withdraw consent where applicable. The Company implements appropriate technical and organizational measures to safeguard personal data but cannot guarantee absolute security.
Where personal data is transferred across jurisdictions, such transfers shall be conducted in compliance with applicable data protection standards.
The Company shall not be liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, government actions, war, civil unrest, cyber incidents, internet failures, or platform restrictions.
The Company reserves the right to update or modify these Terms at any time. Continued use of the Site constitutes acceptance of any revised Terms.
These Terms shall be governed by the laws of the Federal Republic of Nigeria. Parties shall first attempt to resolve disputes amicably. Where unresolved, disputes may be referred to mediation in Lagos State, and thereafter to the competent courts of Nigeria. Nothing prevents the Company from seeking urgent injunctive relief where necessary.
These Terms constitute the entire agreement between you and the Company regarding use of the Site. If any provision is found unenforceable, the remaining provisions shall remain valid. The Company may assign its rights under these Terms without restriction, while you may not assign yours without prior written consent.
